Item 8.01 Other Events.

Carpenter Technology Corporation is amending certain elements of its previously announced Rule 10b5-1 Plan, which was entered into on September 11, 2007. These amendments will not affect the target repurchase amounts and timeline set forth in the Company’s press release issued on September 10, 2007.
