CLEANSING NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT

On 15 July 2020 Carnaby Resources Limited (the Company ) announced the placement of 1,838,000 fully paid ordinary shares in the Company to be issued pursuant to the Company’s existing capacity under ASX Listing Rule 7.1 (the Shares ).

The Company advises that today it has issued the Shares to vendors in part consideration for the acquisition of interests in Exploration Licences E45/4638 and E45/5622.

For the purposes of sections 708A(5)(e)(i) and 708A(6) of the Corporations Act (Cth) ( Corporations Act ), the Company hereby advises that:

1. the Shares have been issued without a disclosure to investors under Part 6D.2 of the Corporations Act;

2. this notice is being given under 708A(5)(e) of the Corporations Act;

3. as at the date of this notice, the Company has complied with:

   • i) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

   • ii) section 674 of the Corporations Act; and

4. as at the date of this notice, the is no information to be disclosed in accordance with section 708A(6)(e) of the Corporations Act that is “excluded information” within the meaning of sections 708A(7) and 708A(8) of the Corporations Act.
