This current report on Form 8-K is being filed solely to file a corrected version of Agreement and Plan of Merger, dated April 12, 2021, by and among Cardlytics, Inc., Bridg, Inc., Mr. T Merger Sub, Inc., and Shareholder Representative Services LLC (the “Agreement”) as Exhibit 10.1. The version of the Agreement previously filed as Exhibit 10.3 to the Company’s Quarterly Report on Form 10-Q filed with the SEC on August 3, 2021 contained certain formatting errors, which have been corrected in the attached Exhibit 10.1, which is incorporated herein by reference.
