Carbonxt Completes Share Purchase Plan

Carbonxt Group Ltd (ASX: CG1) (Carbonxt or the Company) would like to advise shareholders that the Share Purchase Plan ( SPP ) closed on 3 April 2025 with a total of A$739,000 received.

Shareholders were offered the opportunity to subscribe for up to A$30,000 of shares at $0.06 per share.

The SPP was underwritten to an amount of A$1,000,000 equally by two shareholders of the Company, Phelbe Pty Ltd and Chaleyer Holdings Pty Ltd. The shortfall of A$261,000 of ordinary shares has now been placed by those shareholders.

As a demonstration of confidence in the Company’s strategy and growth plans, both the Chairman and the Managing Director will take up their full allocation of A$30,000 each under the SPP.

Carbonxt Managing Director Warren Murphy commented:

“We are pleased with the support received from our shareholders during this capital raise. The funds will be applied directly to the Kentucky facility, which is central to our expansion strategy and long-term revenue growth. The strong backing from our major shareholders and the active participation of the board underscores our shared confidence in Carbonxt’s future.”

The proceeds will support Carbonxt’s strategic investment in a state-of-the-art activated carbon plant in eastern Kentucky, USA. The Company currently holds a 40% interest in the facility and retains the right to acquire an additional 10% in three tranches totaling USD 3.25 million (approximately A$5.3 million). The first instalment of USD 1 million (approximately A$1.6 million) will be funded using proceeds from the SPP.

A total of 16,666,667 shares will be issued on 9 April 2025 and are expected to trade on the same date.
