Cleansing Notice

On 6 November 2019, Carbonxt Group Limited (ASX:CG1 or the ‘Company’), announced a placement of 4,153,673 new fully paid ordinary shares (Shares) at an issue price of $0.36 per Share under a placement to professional and sophisticated investors.

The placement Shares were issued today (7 November 2019) and will rank equally with all other Shares on issue. Placement proceeds will be used primarily to fund working capital associated with growth in revenue.

The Company issued the placement Shares without a disclosure document to investors under Part 6D.2 of the Corporation Act.

The Company gives the following notice under Section 708A5(e) of the Corporations Act 2001 (Act):

• 1. The Company issued the Shares without disclosure to investors under Part 6D.2 of the Act;
• 1. As at the date of this notice the Company has complied with:

  • a) the provisions of Chapter 2M of the Act as they apply to the Company; and

  • b) section 674 of the Act; and

• 1. As at the date of this notice, there is no information that is “excluded information” within the meaning of Sections 708A(7) and 708A(8) of the Act.
