APPOINTMENT AND RESIGNATION OF DIRECTORS

11 May 2012: The Board of Cell Aquaculture Limited (ACN 091 687 740) (“ Company ”) is pleased to advise that Dr Noel Patterson has been appointed as a director of the Company.

For the past 34 years Dr Patterson was the Senior Partner, Clinical Director and Chief Executive Officer of Stirling Health Professionals, which is a multi-disciplinary clinic of 34 staff and amongst the largest practices in Australia. Through this and his other commercial business activities Dr Patterson brings valuable business skills and experience to the Company.

An ASX Appendix 3X Initial Director’s Interest Notice is attached.

The Board advises that Mr Peter Burns and Mr Peter Bodycoat have resigned as directors of the Company in order to pursue other business opportunities. The Board thanks both Mr Burns and Mr Bodycoat for the contributions they have made and wishes them well for the future.

An ASX Appendix 3Z Final Director’s Interest Notice is attached for each of Mr Burns and Mr Bodycoat.
