The Orion Funds (as defined below) sold 62,400,000 CDIs over an equal number of Shares directly to Macquarie Capital (Australia) Limited, Canaccord Genuity (Australia) Limited and RBC Capital Markets (Australia) (collectively, the “ Managers ”) pursuant to a block trade agreement dated April 5, 2024 (the “ Block Trade Agreement ”) between the Orion Funds and the Managers.

On April 9, 2024, the Managers purchased from the Orion Funds pursuant to the Block Trade Agreement an aggregate of 62,400,000 CDIs over an equal number of Shares at a price of A$9.50 per CDI for aggregate gross proceeds of A$592,800,000 (the “ Secondary Offering ”).

Following the Secondary Offering, the Orion Funds will, in the aggregate, beneficially own 90,536,179 Shares, representing approximately 12.0% of the issued and outstanding Shares on a non-diluted basis. Immediately before the completion of the Secondary Offering, the Orion Funds beneficially owned an aggregate of 152,936,179 Shares, representing approximately 20.3% of the issued and outstanding Shares.

The Orion Funds disposed of the Shares as a result of investment considerations including price, market conditions, availability of funds, evaluation of alternative investments and other factors. The Orion Funds may, from time to time, acquire additional securities of Capstone Copper and/or dispose of securities of Capstone Copper as they may deem appropriate. The Orion Funds currently have no other plans or intentions that relate to or would result in any of the actions listed in items (a) to (k) above, but depending on market conditions, general economic and industry conditions, trading prices of Capstone Copper’s securities, Capstone Copper’s business, financial condition and prospects and/or other relevant factors, the Orion Funds may develop such plans or intentions in the future.
Item 6 – Agreements, Arrangements, Commitments or Understandings with Respect to Securities of the Reporting Issuer
Describe the material terms of any agreements, arrangements, commitments or understandings between the acquiror and a joint actor and among those persons and any person with respect to securities of the class of securities to which this report relates, including but not limited to the transfer or the voting of any of the securities, finder’s fees, joint ventures, loan or option arrangements, guarantees of profits, division of profits or loss, or the giving or withholding of proxies. Include such information for any of the securities that are pledged or otherwise subject to a contingency, the occurrence of which would give another person voting power or investment power over such securities, except that disclosure of standard default and similar provisions contained in loan agreements need not be included.
Pursuant to the Block Trade Agreement, the Orion Funds agreed not to, without the prior written consent of the Managers, sell any Common Shares or other securities of Capstone Copper for a period of 90 days from the date of the Block Trade Agreement, subject to certain limited exceptions.
