I, Garth Kirkham, hereby consent to being named as a qualified person, as defined in National Instrument 43-101 – Standards of Disclosure for Mineral Projects, in the Prospectus, including the documents incorporated by reference therein, and to the use of my name in connection with references to my involvement in the preparation of the technical report entitled “ NI 43-101 Technical Report on the Pinto Valley Mine, Arizona, USA ” with an effective date of March 31, 2021 and a report date of June 11, 2021 (the “ Technical Report ”) and to references to the Technical Report, or portions thereof, in the Prospectus and to the inclusion of information derived from those sections of the Technical Report that I am responsible for preparing, in the Prospectus.

The undersigned hereby confirms that I have read the Prospectus and have no reason to believe that there are any misrepresentations in the information contained in the Prospectus that are derived from those sections of the Technical Report that I am responsible for preparing or that are within my knowledge as a result of the services performed by me in connection with the Technical Report.
