Subject: Prior-Intimation of proposed Board Meeting under Regulation 29 (1) (a) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
This is furtherance to the notice of the board meeting dated 30[th] Oct, 2024 for the proposed board meeting scheduled to be held on 14[th] November, 2024, the Board of Directors of the company will also discuss the following matters in that meeting:

to consider fund raising by way of an issuance of equity shares of the Company to its eligible equity shareholders on a rights basis (“Rights issue”),subject to receipt of necessary approvals from regulatory authorities, as applicable and in accordance with applicable provisions of the Companies Act, 2013, as amended, SEBI(Issue of Capital and Disclosure Requirements) Regulations, 2018, as amended, and other applicable laws;

constitution of a special committee of Board of Directors, in the name and style of ‘Rights Issue Committee’ to decide on the matters relating to right issue;
The notice of the Board Meeting shall also be uploaded on Company’s websitewww.capitaltrust.in.
