Item 8.01 Other Events .

On September 1, 2016, the Capital Southwest Corporation board of directors declared a cash dividend of $0.11 per share of common stock. The dividend is payable on October 1, 2016 to shareholders of record on September 15, 2016. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
