Item 5.07 Submission of Matters to a Vote of Security Holders.

Our Annual Meeting of Shareholders was held on July 18, 2011. As of May 27, 2011, the record date, 3,753,038 shares of common stock were eligible to be voted, and 3,431,122 of those shares were voted in person or by proxy at the Annual Meeting. Shareholders were asked to consider and act upon:

1) elect five (5) directors to serve until the next annual meeting of shareholders or until their respective successors shall be elected and qualified;

2) ratify the appointment by our Audit Committee of Grant Thornton LLP as our independent registered public accounting firm for the fiscal year ending March 31, 2012;

3) approve the Capital Southwest Corporation 2010 Restricted Stock Award Plan;

4) conduct an advisory (non-binding) vote on executive compensation; and

5) conduct an advisory (non-binding) vote on the frequency of the advisory vote of our named executive officers.
