1 August 2014 Capita plc (the "Company") Voting Rights and CapitalNotification of alteration to total voting rights in accordance with the FCA'sDisclosure and Transparency Rules provision 5.6.1R.The Company advises that its capital consists of 669,986,541 ordinary shares of2 1/15p each, as at 31 July 2014. The voting rights of these shares areidentical with each share carrying the right to one vote. The Company currentlyholds 8,925,359 ordinary shares in Treasury. Therefore, the total number ofvoting rights in Capita plc is 661,061,182.The above figure, 661,061,182, may be used by shareholders as the denominatorfor the calculations by which they will determine if they are required tonotify their interest in, or change to their interest in, Capita plc under theFCA's Disclosure and Transparency Rules.In addition, the above figure includes 2,215,832 shares currently held by theCapita Employee Benefit Trust and therefore excluded from the Company's EPScalculation.Name and signature of duly authorised officer of issuer responsible for makingnotification:
