NOTICE UNDER SECTION 708A(5)(E) OF THE CORPORATIONS ACT - ISSUE OF SHARES

Cann Group Limited ( Cann ) (ASX: CAN) provides notice that 67,543 fully paid ordinary shares ( Shares ) were issued on 14 May 2021 by way of a placement to Commonwealth Scientific and Industrial Research Organisation ( CSIRO ), as part settlement of an invoice for services rendered by CSIRO during the quarter ending 31 March 2021.

CAN gives notice that:

• (a) the Shares were issued without disclosure under Part 6D.2 of the Corporations Act 2001 (Cth) ( Act

• (b) this notice is being given under section 708A(5)(e) of the Act;

• (c) as at the date of this notice, CAN has complied with:

  • (i) the provisions of Chapter 2M of the Act as they apply to CAN; and

  • (ii) section 674 of the Act;

• (d) as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) or 708A(8) of the Act.
