Pironet NDH AG: MDS Segment – Sale of SA2 Worldsync GmbH, reorganisation of SA2 Retail AG and SA2 Exchange GmbH

Cologne, Germany, 10 August 2011 - Taking economic effect on 1 January
2011, SA2 Retail AG, which belongs to the Master Data Services (MDS)
segment of Pironet NDH AG, is selling its 51% share in SA2 Worldsync GmbH
to its longstanding co-partner at SA2 Worldsync GmbH, GS1 Germany GmbH,
Cologne. The purchase price is set at EUR 2.6 million. Among other things,
the transaction also encompasses the granting of a license (for a one-off
fee in the amount of EUR 1.4 million) that SA2 Worldsync GmbH requires to
continue its business operations. SA2 Worldsync GmbH is part of the MDS
segment at Pironet NDH AG, where it had only been consolidated at equity
since 1 January 2011.
In this connection, at the same time an internal reorganisation of the two
other wholly owned subsidiaries also located in the MDS segment was
decided: SA2 Retail AG and SA2 Exchange GmbH. SA2 Retail AG is scheduled to
be integrated in Imperia AG, and SA2 Exchange GmbH in Pironet NDH
Datacenter GmbH. The changes will be of no consequence for the operative
business of the two subsidiaries.
With the sale of the shares in SA2 Worldsync GmbH and the internal
reorganisation of SA2 Retail AG and SA2 Exchange GmbH, the process of the
strategic review of the MDS segment of Pironet NDH AG, announced on 25
March 2011, was successfully completed.
In this connection, the Chairman of the Executive Board of Pironet NDH AG,
Mr. Hans-Werner Scherer, has announced his wish to withdraw from the
Executive Board of the company. The related talks have not yet ended. Until
their completion, Mr. Scherer is relieved of his duties as Chairman of the
Executive Board and member of the Executive Board effective from August 11,
2011. With effect from August 11, 2011, Mr. Scherer's successor in the
chairmanship of the executive board will be the present Deputy Chairman of
the Executive Board, Mr. Felix Höger.
