CANCOM agrees on letter of intent with Allgeier to acquire DIDAS Business
Services GmbH

Munich, Germany, 18 March 2014 - On 18 March 2014, CANCOM SE and Allgeier
SE agreed on a letter of intent regarding the acquisition of 100 % of DIDAS
Business Services GmbH, located in Langenfeld (Rheinland), Germany. DIDAS
Business Services GmbH is a 100 %-subsidiary of Allgeier IT Solutions AG.
The purchase price will largely be paid in CANCOM-shares which will be
issued as part of a capital increase by way of contribution in kind.

DIDAS Business Services GmbH holds eight locations in Germany and offers a
portfolio of IT services and solutions in the fields of professional-,
managed- and cloud services. Within this portfolio, DIDAS has a focus on
design, implementation and transformation of contemporary IT-/cloud
architectures. The customers are mid-sized companies as well as
international enterprises. The company employs 260 people and achieved
revenues according to preliminary figures of approximately EUR 56 million
in 2013 with an EBITDA of ca. EUR 1.8 million.

The closing of the transaction, which is still subject to supervisory board
approval, will take place after approval by the antitrust authorities
within the coming weeks.

The acquisition enables CANCOM to deploy economies of scale on the one hand
and to expand its business with cloud solutions through enlarging the
customer base on the other.
