Jettingen-Scheppach, Germany, 22 December 2009 - CANCOM IT Systeme AG has
taken over 100 percent of BT IT-Systemhaus GmbH (formerly Bürotex GmbH
Systemhaus), based in Nürtingen, Germany, by a contract of sale dated 22
December 2009. The acquisition includes both BT IT-Systemhaus GmbH's 100
percent subsidiary BT IT-Solutions GmbH (formerly Bürotex IT solutions
GmbH), also based in Nürtingen, and BT IT-Systemhaus GmbH's 75.0 percent
subsidiary live Netzwerk & Computer GmbH, Munich, Germany. Additionally,
CANCOM IT Systeme AG has acquired an interest of 100 percent in BT
IT-Consulting GmbH (formerly SCC GmbH), based in Stuttgart, Germany. The
purchase price is around EUR 4 million, with the exact price to be
calculated on the basis of the combined equity capital of the companies as
at 31 December 2009. It will be paid in cash.
This step will further consolidate CANCOM IT Systeme AG's position in the
German integrated system providers environment. The BÜROTEX Group is one of
the leading IT trading and consultancy companies in Baden-Württemberg,
Germany and is among the 25 largest integrated systems providers in the
country. Its customers include small and medium sized companies, as well as
leading German groups, multinationals and public-sector institutions. The
companies acquired employ 278 people, including 46 trainees. In the
calendar year 2009 the companies acquired are expected to make combined
sales revenues of about EUR 55 million, and their results from ordinary
activities are expected to be balanced. The acquired companies had cash
totalling about EUR 2 million at the time of the acquisition.
The Executive Board of CANCOM IT Systeme AG expects the companies acquired
to contribute at least EUR 1 million per year to the Group's profits from
2011, following restructuring planned for 2010.
