Pironet NDH Takes Over Majority Share of SINFOS GmbH

The issuer is solely responsible for the content of this announcement. ——————————————————————————– Extension of product portfolio / Strengthening of client base Cologne, Germany, December 8, 2004; Pironet NDH AG is taking over a 75,01% share of SINFOS GmbH, financially and retroactively effective as of January 1, 2004, from CCG (Centrale für Coorganisation). The purchase price was negotiated per tacit agreement. SINFOS is a provider of services for the optimization of business processes between manufacturers and retailers with the objective of streamlining the electronic movement of goods through multilateral master data alignment via a common data pool. SINFOS GmbH’s article master data pool is now used by more than 90% of all commercial enterprises in Germany, as well as by over 1,000 German suppliers, and is the essential foundation for the further processing of this data in downstream processes. The Centrale für Coorganisation (CCG) is the service and competence center for company-wide corporate procedures in the German consumer goods industry and its associated economic sectors. CCG also owns a 24.99 % share of SINFOS GmbH. As the sponsor for the ECR (Efficient Consumer Response) Germany Initiative, CCG cooperates with organizations in Austria and Switzerland (D-A-CH), as well as with other regional and global initiatives. The services developed by CCG, including the SINFOS Global Portal for Article Master Data Alignment in particular, consequently take on an additional, international dimension. SINFOS GmbH already has a client base of approximately 1,800 companies in 6 European countries, primarily from the consumer goods industry and retail. The acquisition puts Pironet NDH AG in a position to provide integrated solutions for the optimization of the value-added chain, from manufacturers and retailers to consumers.
