Der Kaufpreis wird ausschließlich durch Ausgabe neuer Aktien beglichen. VendIT ist eine Management-Holding mit den operativen Gesellschaften SOFTWARE WINGS, Logibyte und Maily, die zu den führenden und renommiertesten Software-Handelshäusern im deutschsprachigen Raum zählen. Die VendIT-Gruppe ist als Pionier und Marktführer im Software- Fachversand auf den b2b-Bereich und den gehobenen Mittelstand fokussiert. Neben der starken Marktstellung bei beinahe allen großen Software-Herstellern ist man beispielsweise europaweit einer der wichtigsten Lizenzierungs-Partner von Microsoft. VendIT erzielte im Geschäftsjahr 1999/2000 (Ende: 30.9.2000) mit 159 Mitarbeitern einen Umsatz von 163,1Mio. DM. Alle operativen Gesellschaften arbeiten profitabel. Insbesondere aufgrund von Aufwendungen eines nicht realisierten Börsenganges schloß die VendIT-Gruppe das Geschäftsjahr 1999/2000 mit einem EBIT von – 0,4 Mio. DM ab. Mit dieser Akquisition weitet die CANCOM-Gruppe ihre Aktivitäten im neu geschaffenen Bereich Software Distribution in erheblichem Maße aus. Gemeinsam mit VendIT ist CANCOM nun einer der größten Software-Händler im deutschsprachigen Raum. Mittelfristiges Ziel ist es, europaweit die Marktführerschaft bei der Online-Software-Vermarktung zu erzielen. Dies soll insbesondere durch den Ausbau der Bereiche Electronic Software Distribution (ESD) und Electronic Licence Distribution (ELD) erfolgen, auf die sich die Tendi AG, ein Tochterunternehmen der CANCOM IT Systeme AG, spezialisiert hat. Es ist geplant, die VendIT AG auf die Tendi AG zu verschmelzen. Der Vorstand der CANCOM IT Systeme AG hebt die bestehende Umsatzplanung für 2001 von 380 Mio. DM auf 502 Mio. DM an, die Umsatzplanung für 2002 wird von 501 Mio. DM auf 650 Mio. DM angehoben. Aufgrund notwendiger Umstrukturierungen innerhalb der VendIT- Gruppe und deren Integration in die Tendi AG rechnet die CANCOM IT Systeme AG im Jahr 2001 mit einer Belastung des EBIT- Ergebnisses in Höhe von 2,8 Mio. DM. Das geplante EBIT des CANCOM-Konzerns in 2001 beträgt entsprechend nun 10,0 Mio. DM. Für 2002 ist geplant, mit dem positiven operativen Ergebnis der akquirierten Unternehmen die dort dann noch laufenden Anlaufinvestitionen in die Bereiche ESD und ELD auszugleichen, weshalb die bestehende EBIT-Planung des CANCOM-Konzerns von 21,9 Mio. DM bestehen bleibt. In den Folgejahren wird die Akquisition dann deutlich zum Ergebnis der CANCOM IT Systeme AG beitragen können. Die hiermit erstmalig veröffentlichte Planung für 2003 sieht vor, dass bei einem Konzernumsatz von 840 Mio. DM ein EBIT- Ergebnis von 28,5 Mio. DM erzielt wird. VendlT AG headquarters are located in Unterhaching near Munich (Germany). The takeover will be financed entirely by the issue of new shares. VendIT is a management holding with operating companies such as SOFTWARE WINGS, Logibyte and Maily. It is considered to be one of the leading and most renowned software businesses among German speaking countries. The VendIT Group is a pioneer and market leader specializing in b2b software mail orders. It focuses on the upper-middle class businesses. Besides its strong market position among almost all large software manufacturers, it is one of the most important licensing partners in Europe for Microsoft. VendIT reached sales revenues of DM 163.1 million in fiscal 1999/2000 (year ending on 30 September 2000). The company has 159 staff members. All operating companies are realizing profits. Due to expenses from a planned but not implemented public offering, the VendlT Group’s EBIT for fiscal 1999/2000 was DM – 0.4 million. With this takeover, the CANCOM Group has expanded its activities considerably in the newly created area of software distribution. By acquiring VendIT, CANCOM has become one of the largest software dealers in the German speaking area. The medium-term target is to gain the leading position in European online software marketing and sales. Specifically, this is to be achieved by broadening the Electronic Software Distribution (ESD) and Electronic License Distribution (ELD) divisions. Tendi AG, a subsidiary of CANCOM IT Systeme AG, has specialized in these fields. The plan is to merge VendIT AG with Tendi AG. The CANCOM IT Systeme AG Board of Management increases its current sales forecast from DM 380 million to DM 502 million in 2001, and from DM 501 million to DM 650 million in 2002. For fiscal year 2001, CANCOM IT Systeme AG expects an EBIT debit of DM 2.8 million due to necessary restructuring within the VendIT Group, as well as its integration with Tendi AG. Accordingly, the forecasted EBIT for the CANCOM Group in 2001 amounts to DM 10.0 million. For 2002, it is planned to offset the starting costs in the areas of ESD and ELD with the positive operating results from the acquired business. Thus, the current CANCOM Group EBIT forecast remains at DM 21.9 million. In the following years, the acquisition will contribute significantly to the profit of CANCOM IT Systeme AG. For the first time, the company announces that consolidated sales of DM 840 million and an EBIT of DM 28.5 million are expected for fiscal year 2003.
