Further to our intimation dated May 28, 2021, we wish to inform you that the following decisions have been taken by the Board of Directors of the Company vide resolutions passed today i.e. June 17, 2021:

1. Appointment of Mr. Ashish Dandekar as Chairman of the Board with effect from June 17, 2021.

2. Re‐designation of Mr. Ashish Dandekar a Chairman & Managing Director of the Company with effect from June 17, 2021.

3. Change in the date for convening of the 28[th] Annual General Meeting (“AGM”) of the Company:

   • (a) The 28[th] AGM will be convened on July 20, 2021.

   • (b) In accordance with Regulation 42 of SEBI LODR REGULATIONS, 2015, the Register of Members and Share Transfer Books of the Company will remain closed from Wednesday, July 14, 2021 to Tuesday, July 20, 2021 (both days inclusive) for the purpose of annual closing and the ensuing 28[th] Annual General Meeting of the Company.

   • (c) In view of the re‐designation of Mr. Ashish Dandekar, as stated above, the Board has approved amendment to the special resolution seeking approval of the shareholders for his appointment as “Chairman & Managing Director”.
