In terms of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), we wish to inform you that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors, vide circular resolution passed today, i.e. on October 18, 2021, has approved the appointment of Mr. Pradip M. Kanakia (DIN: 00770347) as an Additional Director (Non‐Executive Independent Director) on the Board of Directors of the Company for a term of 5 (five) years with effect from October 18, 2021, subject to approval of the shareholders of the Company.

Mr. Kanakia fulfills the criteria of independence as required under the provisions of the Companies Act, 2013 and the Rules framed thereunder and the Listing Regulations.

Disclosure required pursuant to Regulation 30 of the Listing Regulations read with Para A of Part A of Schedule III to the Listing Regulations read with the SEBI Circular having reference no. CIR/CFD /CMD /4/2015 dated September 9, 2015, with regard to change in Directors and Key Managerial Personnel are annexed herewith as Annexure 'A'.
