Sub: Providing Corporate Guarantee in favour of Kotak Mahindra Bank Limited Ref: Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

We wish to inform you that the Board of Directors at its meeting held today i.e., May 30, 2024 has inter-alia, considered and approved providing Corporate Guarantee for an amount not exceeding INR 10,30,00,000 (Rupees Ten Crores and Thirty Lakhs only) in favour of Kotak Mahindra Bank Limited for securing Working Capital, Cash Credit, and Term loan Facility by CTE Web Apps Private Limited, a Wholly Owned Subsidiary of the Company.

In terms of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulation, 2015 read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023, we hereby submit the requisite information as below:

4		Impact of such guarantees ~~or surety~~on listed entity	~~or indemnity~~	The corporate guarantee provided is a contingent liability for the Company. This guarantee has been provided on behalf of a 100% subsidiary of the Company which is part of the consolidated group. At this point, there is no impact of this guarantee on the Company.

The meeting of the Board of Directors of the Company commenced at 03.00 PM and concluded at 06.00 PM
