For the purposes of ASX Listing Rule 3.10.3, Regeneus Ltd provides the following information in relation to the placement and share purchase plan it announced 8 August 2014.

Principal terms of the securities to be issued	The Shares will rank equally with existing ordinary $\bullet$ Shares in Regeneus The Options have an expiry date 12 months from $\bullet$ the issue date and each Option carries an entitlement to one Share on payment of the exercise price of \$0.40 per Option.
Issue price or consideration	Under the Placement - \$0.26 per Share and NIL $\bullet$ per Option Under the Share Purchase Plan - \$0.26 per Share $\bullet$
Purpose of the issue	The new capital raised under the Placement and Share Purchase Plan will be used to accelerate Regeneus' product developments. Further detail is set out in the announcement of the Placement and SPP on 8 August 2014.
Whether the entity will seek security holder approval in relation to the proposed issue of securities	Regeneus will not seek approval of shareholders for the issue of Shares under either the Placement or the Share Purchase Plan
Whether the issue will be to a class of security holders	The issue of Shares under the Placement will be made to institutional and professional investors. The issue of Shares under the Share Purchase Plan will be made to eligible shareholders only
