Regeneus successfully closes \$3M private placement

Sydney, Australia - 15 August 2014

Regeneus Ltd (ASX: RGS) is pleased to announce that it has successfully completed a \$3,000,000 capital raising through a private placement with institutional and sophisticated investors. The capital raising was tully subscribed.

The Chairman and CEO participated in the placement for an aggregate of \$200,000 of shares. As required under ASX Listing Rules, the shares subscribed for by the Directors will be issued subject to shareholder approval at the company's upcoming Annual General Meeting scheduled for October.

As announced, a Share Purchase Plan (SPP) will be offered to existing shareholders providing the ability to subscribe for up to \$15,000 worth of Regeneus fully paid ordinary shares to raise up to \$3,000,000. Full details of the SPP will be released to the market on Monday 18 August 2014.

Regeneus Ltd (ASX: RGS) is a Sydney-based ASX listed regenerative medicine company that develops and commercialises stem cell and other biological therapies for the human and veterinary health markets with a focus on musculoskeletal and oncology conditions. Regeneus Ltd ACN 127 035 358 (ASX code: RGS) Notification under section 708A(5)(e) of the Corporations Act 2001 (Cth)

Regeneus has today issued 10,769,230 fully paid ordinary shares at an issue price of \$0.26 per share pursuant to the placement announced to the market on 8 August 2014.

Regeneus gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act) that:

  • $\mathbf{1}$ . Regeneus issued 10,769,230 ordinary shares without disclosure to investors under Part 6D.2 of the Corporations Act.
  • $2.$ as at the date of this notice:
  • $\alpha$ Regeneus has complied with the provisions of Chapter 2M of the Corporations Act as they apply to Regeneus;
  • $(b)$ Regeneus has complied with section 674 of the Corporations Act; and
  • there is no "excluded information" within the meaning of sections 708A(7) and 708A(8) of $(c)$ the Corporations Act which is required to be disclosed under section 708A(7) of the Corporations Act.
