Share Placement Cleansing Notice – $4.5m R&D tax incentive received
Calix Limited (ASX: CXL, ‘Calix’ or ‘the Company’), announced on 27 September 2019 that it had completed a placement of $12 million by way of the issue of approximately 17.14 million shares to certain institutional, professional and sophisticated investors ( Placement ). The Placement shares were issued to investors on 4 October 2019.
Calix gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ). The shares issued under the Placement were issued without disclosure to investors under Part 6D.2 of the Corporations Act.
The Company advises that:

1 as at the date of this notice, the Company has complied with:
-
a. the provisions of Chapter 2M of the Corporations Act as they may apply to the Company; and
-
b. section 674 of the Corporations Act; and

2 as at the date of this notice there is no information that is “excluded information” within the meaning of sections 708A(7) and 708A(8) of the Corporations Act apart from the fact that Calix has received a payment of $4.5m from the Australian government on 3[rd] October 2019 associated with the R&D tax incentive scheme.
