NOTES:

1. The Explanatory Statement pursuant to Section 102 of the Companies Act, 2013, SEBI Listing Regulations and SS-2, setting out all material facts and reasons in respect of the resolutions set out in Item nos. 1 and 2 of this Postal Ballot Notice, is annexed hereto;

2. Due to the Covid-19 pandemic, the MCA Circulars, have, interalia, prescribed the process for passing of resolutions through postal ballot. The MCA Circulars also provide that the communication of assent/ dissent of the members in the Postal Ballot will take place only through remote e-voting

3. The Postal Ballot Notice is being sent to the shareholders whose names appear in the Register of Members of the Company or in the Register of Beneficial Owners maintained by the Depositories as on 06[th] Jan 2023. In view of the continuing restrictions on movement of persons at several places in the country caused by outbreak of COVID – 19 and the MCA Circulars, the Postal Ballot Notice is being sent only in electronic mode to those shareholders who have registered their e-mail addresses with the Company or with the Depositories or with the Company’s RTA; Further, Members can vote on the Resolutions only through remote e-voting. Remote e-voting will commence at 10.00 A.M. on 12[th] January 2023 and ends at 5.00 P.M on 10[th] February 2023, when remote e-voting will be blocked by NSDL

In furtherance to the recommendation of the Audit Committee, the Board of the Directors of the Company decided to appoint M/s. K. Gopal Rao & Co., Chartered Accountants (ICAI Regn. No.000656S) as the Statutory Auditors of the Company for auditing the books of accounts of the company for the financial year 2022-23

The consent of the members is, sought in accordance with the provisions of Section 139 of the Companies Act 2013, to appoint M/s. K. Gopal Rao & Co., Chartered Accountants as Statutory Auditors of the Company.
