Sub: Outcome of the Rights Issue Committee Meeting of California Software Company Limited.

This is further with respect to Rights Issue of the Company and in accordance with the Letter of Offer dated January 7, 2025 and pursuant to finalization of the Basis of Allotment of the Rights Issue in consultation with the designated stock exchange, National Stock Exchange of India Limited and Registrar to the Issue, the Members of the Board of Directors of the Company, at its meeting held today, i.e., February 13, 2025 has inter alia approved the allotment of 4,63,71,318 (Four Crore Sixty Three Lakhs Seventy One Thousand Three Hundred Eighteen) Partly paid-up Equity Shares of face value of ₹10.00/(Rupees Ten Only) per Equity Share at price of ₹10 /- (Rupees Ten Only) per Right Share to the eligible applicants.

Subsequent to the said allotment, the issued, subscribed, and paid-up equity share capital of the Company stands increased from ₹ 15,45,71,060/- (Rupees Fifteen Crores Forty Five Lakhs Seventy One Thousand Sixty only) divided in ₹ 10/- (Rupees Ten Only) Equity Shares to ₹ 27,04,99,355/- (Rupees Twenty Seven Crores Four Lakhs Ninety Nine Thousand Three Hundred Fifty-Five only) divided into 1,54,57,106 (One Crore Fifty Four Lakhs Fifty Seven Thousand One Hundred Six) shares of ₹10/(Rupees Ten Only) and 4,63,71,318 (Four Crore Sixty Three Lakhs Seventy One Thousand Three Hundred Eighteen) Equity Shares of paid-up value of ₹ 2.50/- (Rupees Two and Paise Fifty Only).
