Sub: Clarification sought on appointment of Directors in the Board Meeting held on 31[st] July 2021. Ref: Company’s intimation on Board Meeting outcome dated 31.07.2021.

In connection to our intimation dated July 31, 2021 and requirement received from National Stock Exchange of India Limited (NSE) through email dated August 03, 2021, the confirmation sought in compliance with SEBI Letter dated June 14, 2018 read along with NSE Circular dated June 20, 2018 is given below for ready reference.

We would like to bring to your notice that SEBI Letter dated June 14, 2018 read along with NSE Circular dated June 20, 2018, having ref no. as - NSE/CML/2018/24, requires Listed Companies to ensure that the person proposed to be appointed as “Director” shall not be debarred from holding the office by virtue of any SEBI Order or any other authority.

We would like to confirm that the below mentioned Directors who were appointed as Additional Directors at the Board Meeting held on 31[st] July 2021 are not debarred from accessing the Capital Market and neither SEBI nor any authority had passed any order against him debarring from accessing the capital market.
