Item 8.01 Other Events.

On January 27, 2025, Calavo Growers, Inc. issued a press release announcing that its Board of Directors has elected Farha Aslam as its Chair effective immediately. Steven Hollister, the outgoing Chair, will remain on the Board of Directors where he has served since 2008. He also served as Interim Chief Executive Officer in 2021. A copy of our press release is attached hereto as Exhibit 99.1 and is incorporated by reference.
