APPOINTMENT OF DIRECTOR

Harbour Centre Development Limited (the “Company” ; together with its subsidiaries, the “Group” ) announces that Dr. CHOW, Ming Kuen Joseph ( “Dr. Chow” ) has been appointed as a director of the Company, effective from 1 November 2010. Dr. Chow is regarded as an independent non-executive director (“ INED ”) of the Company.

Dr. Chow, OBE, JP, RPE, FHKIE, FICE, FIStructE, FCIT, MIHT, aged 69, is a professional civil and structural engineer. He is the chairman of Joseph Chow & Partners Limited and is an INED of four companies publicly listed in Hong Kong, namely, Build King Holdings Limited, Chevalier International Holdings Limited, PYI Corporation Limited, Road King Infrastructure Limited. He was a formerly a non-executive director of Wheelock Properties Limited (formerly a listed public company until it became a wholly-owned subsidiary of Wheelock and Company Limited, the Company’s ultimate holding company, in July 2010) from May 2003 to July 2010. Dr. Chow also serves as the chairman of the Hong Kong Construction Workers Registration Authority and a Hon. Senior Superintendent of the Hong Kong Auxiliary Police Force. He was formerly the president of The Hong Kong Institution of Engineers, the chairman of the Hong Kong Examinations and Assessment Authority, a member of Hong Kong Housing Authority and a member of Hospital Authority.

Save as disclosed above, Dr. Chow does not at present, nor did he in the past three years, hold any directorship in any other listed public company, and he does not have any relationship with any directors, senior management or any substantial or controlling shareholders of the Company. He does not have any interest (within the meaning of Part XV of the Securities and Futures Ordinance) in any securities of the Company. Dr. Chow will receive from the Company a director’s fee at the rate of HK$40,000 per annum. This rate of director’s fee is in line with that payable to other directors, including other INEDs, of the Company. Presently, there exists no service contract between the Group and Dr. Chow, and therefore no emolument will be payable to him by the Group apart from the abovementioned director’s fee. been involved in any of the matters required to be disclosed pursuant to any of the requirements of the provisions under paragraphs 13.51(2)(h) to 13.51(2)(v) of the Listing Rules, and there is no other matter which need to be brought to the attention of the shareholders of the Company. In accordance with the provisions of the Company’s articles of association, Dr. Chow will hold office until he retires from the board of directors of the Company (the “ Board ”) at the Annual General Meeting of the Company to be held in 2011.

As at the date of this announcement, the Board comprises Mr. Stephen T. H. Ng, Ms. Doreen Y. F. Lee, Mr. T. Y. Ng and Mr. Paul Y. C. Tsui, together with four INEDs, namely, Dr. Joseph M. K. Chow, Mr. H. M. V. de Lacy Staunton, Mr. Michael T. P. Sze and Mr. Brian S. K. Tang.
