EXPLANATORY NOTE

On November 17, 2021, an annual general meeting of shareholders of Caesarstone Ltd. (the “Company”) was held at the Company’s offices located at Kibbutz Sdot- Yam, MP Menashe 3780400, Israel. At the meeting, the Company’s shareholders voted on the proposals described in the Company’s proxy statement that was attached as Exhibit 99.1 to the Company’s Report of Foreign Private Issuer on Form 6-K that was furnished to the U.S. Securities and Exchange Commission on October 13, 2021. All matters were voted upon, and each matter voted upon was approved.
