RE: The Green Organic Dutchman Holdings Ltd. (the “Corporation”) At-the-Market Prospectus Supplement dated December 2, 2020 (“ATM Prospectus Supplement”)

The Corporation hereby confirms the following information in respect of the distribution of common shares of the Corporation (each, an “ Offered Share ”) in August 2021 (the “ Offering ”), under the ATM Prospectus Supplement:

1. The Corporation issued 3,326,500 Offered Shares at a weighted average price of $0.27 per Offered Share;

2. The aggregate gross proceeds of the Offering was $887,104.85;

3. The aggregate net proceeds of the Offering was $860,491.70; and

4. The aggregate commissions paid/payable pursuant to the Offering was $26,613.15.
