REPORT

RE: The Green Organic Dutchman Holdings Ltd. (the “Corporation”) At-the-Market Prospectus Supplement dated December 2, 2020 (“ATM Prospectus Supplement”)

The Corporation hereby confirms the following information in respect of the distribution of common shares of the Corporation (each, an “ Offered Share ”) in June 2021 (the “ Offering ”), under the ATM Prospectus Supplement:

1. The Corporation issued 1,073,000 Offered Shares at a weighted average price of $0.36 per Offered Share;

2. The aggregate gross proceeds of the Offering was $388,698.30;

3. The aggregate net proceeds of the Offering was $377,037.35; and

4. The aggregate commissions paid pursuant to the Offering was $11,660.95.
