Item 3.02 Unregistered Sales of Equity Securities

On October 31, 2018 Security Devices International Inc. (“SDI” or the “Company”) (CSE: SDZ) (OTCQB: SDEV), announces the issuance of 6,666,666 shares (the “Shares”) of its common stock to FinTekk AP, LLC (“FinTekk”) at a deemed price of US$0.15 per share. The Shares are issued pursuant to a Debt Settlement Agreement, to retire a certain debt owing by the Company to FinTekk, which debt arose in connection with a sponsorship agreement (the “Sponsorship Agreement”) dated October 30, 2018. The Sponsorship Agreement details a marketing campaign for the launch of the Company’s new Byrna TM HD product. The shares are subject to a six-month holding period expiring on April 30, 2019. The Shares were issued in reliance on the exemption from registration provided by Section 4(a)(2) of the Securities Act of 1933, as amended.
