ITEM 6. Indemnification of Directors and Officers
The Company is incorporated under the Delaware General Corporation Law (the DGCL). Section 145 of the DGCL provides that a corporation organized thereunder has the power to indemnify directors and officers as well as other employees and agents of a corporation or enterprise against expenses (including attorneys fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by such person in connection with any threatened, pending or completed actions, suits or proceedings, whether civil, criminal, administrative or investigative, in which such person was or is a party or is threatened to be made a party by reason of such person being or having been in such capacity. The power to indemnify applies if such person acted in good faith and in a manner such person reasonably believed to be in or not opposed to the best interests of the corporation, and, with respect to any criminal action or proceeding, had no reasonable cause to believe such persons conduct was unlawful, except that with respect to an action or suit brought by or in the right of the corporation such indemnification is limited to expenses (including attorneys fees) in connection with the defense or settlement of such action or suit. The DGCL provides that Section 145 is not exclusive of other rights to which those seeking indemnification may be entitled under any bylaw, agreement, vote of the Companys stockholders or disinterested directors or otherwise. The Companys amended and restated bylaws provide for indemnification of its directors, officers and employees to the fullest extent permitted by the DGCL, subject to limited exceptions.
Section 102(b)(7) of the DGCL permits a corporation to provide in its certificate of incorporation that a director of the corporation shall not be personally liable to the corporation or its stockholders for monetary damages for breach of fiduciary duty as a director, except for liability (i) for any breach of the directors duty of loyalty to the corporation or its stockholders, (ii) for acts or omissions not in good faith or which involve intentional misconduct or a knowing violation of law, (iii) for unlawful payments of dividends or unlawful stock purchases, redemptions or other distributions or (iv) for any transaction from which the director derived an improper personal benefit. The Companys amended and restated certificate of incorporation provides for such limitation of liability. The Company will maintain policies of insurance under which coverage is provided (a) to its directors and officers, in their respective capacities as such, against loss arising from a claim made for any actual or alleged wrongful act, and (b) to the Company with respect to payments which the Company may make to such officers and directors pursuant to the above indemnification as a matter of law.
Reference is made to the form of underwriting agreement filed as Exhibit 1.1 to the Companys Registration Statement on Form S-1 (Registration No. 333-218362) for provisions providing that the underwriters are obligated, under certain circumstances, to indemnify the Companys directors, officers and controlling persons against certain liabilities under the Securities Act.
