Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 28, 2016, Lori W. Silverstein gave notice of her resignation as Senior Vice President, Controller of Boston Properties, Inc. (the “Company”) effective as of May 13, 2016 to pursue other opportunities. Ms. Silverstein specifically acknowledged that her resignation did not result from any disagreement regarding the Company’s financial reporting or accounting policies, procedures, estimates or judgments.

In addition, in connection with Ms. Silverstein’s resignation, Michael E. LaBelle, the Company’s Executive Vice President, Chief Financial Officer and Treasurer, assumed Ms. Silverstein’s responsibilities as the Company’s principal accounting officer effective as of April 29, 2016.
