Failure to submit minority lists for the election of the Board of Statutory Auditors of Buzzi SpA – extension of the deadline for submission
It is hereby announced that, with reference to the ordinary shareholders’ meeting of Buzzi convened for 13 May 2026 in a single call, at the expiry of the deadline set for the submission of lists for the appointment of the Board of Statutory Auditors, only one list of candidates was filed at the Company’s registered office by the controlling shareholder.
Accordingly, pursuant to Article 144-sexies, paragraph 5, of Consob Regulation No. 11971/99 and Article 22 of the Company’s By-laws, additional lists may be submitted by 21 April 2026 by shareholders who, individually or jointly with other shareholders, hold shares carrying voting rights representing at least 0.5% of the share capital with voting rights at the ordinary shareholders’ meeting.
With regard to the procedures for submitting the lists and the related supporting documentation, reference should be made to the provisions set out in the notice of call available on the Company’s website www.buzzi.com, section Investors/Shareholders’ Meetings, and on the authorised storage mechanism managed by Teleborsa S.r.l. (www.emarketstorage.com).
