Dividend Rate Table Explanations

1. Şirket'in "Kar Dağıtım Politikası" çerçevesinde, 2023 yılı dönem kârı hakkında Yönetim Kurulu'nun teklifinin görüşülmesi, oya sunulması, karara bağlanması'na ilişkin;

Yönetim Kurlunun 6 Mayıs 2024 tarihli teklifinin(EK1) okunması ve oylanması neticesinde; aşağıdaki şekilde okunup kabulüne oybirliği ile karar verildi.

Şirketin 2023 yılı faaliyetlerinin; Vergi Usul Kanunu (VUK) hükümlerine göre düzenlenmiş finansal tablolara göre 16.135.015,52 TL , Sermaye Piyasası Kurulu'nun "Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği" (II-14.1) uyarınca hazırlanan ve bağımsız denetimden geçmiş konsolide finansal tablolarına göre 52.737.919 TL net dönem karı ile sonuçlandığı anlaşılmakla;

· TTK ‘nın 519. Maddesi ve SPK hükümleri gereği, VUK hükümlerine göre düzenlenen 2023 yılı finansal tablolarından oluşan net dönem karı üzerinden %5 806.750,78 TL genel kanuni yedek akçe ayrılmasına;

· Vergi Usul Kanunun kayıtlarına göre 16.135.015,52 TL tutarındaki 2023 yılı karından 1.374.999,95 TL genel kanuni yedek akçe ayrılarak 13.750.000 TL brüt temettü dağıtılmasına , kalan tutarın olağanüstü yedek akçe olarak ayrılmasına,

· Kar dağıtım tarihinin tek seferde en geç 10.07.2024 tarihinde olacak şekilde Şirket'in nakit projeksiyonu dikkate alınarak Olağan Genel Kurul sonrası Yönetim Kurulu'nca belirlenmesine
