Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 10, 2020, M. Chad Crow notified our Board of Directors (the “Board”) of his decision to retire as President and Chief Executive Officer of Builders FirstSource, Inc. (the “Corporation”) during 2020 after assisting the Board in hiring his replacement. Mr. Crow has agreed to continue with the Corporation in a consulting capacity for a period of time following the appointment of a new Chief Executive Officer to assist in the transition.

The Board has retained a leading global executive search firm to help identify a successor.

A copy of our press release announcing Mr. Crow’s planned retirement as President and Chief Executive Officer of the Corporation in 2020 is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
