as my/our proxy to attend and vote for me/us on my/our behalf at the Annual General Meeting of the Company to be held at Academy Room I-II, 1st Floor, InterContinental Grand Stanford Hong Kong, 70 Mody Road, Tsimshatsui East, Kowloon, Hong Kong on Friday, 22 May 2020 at 2:00 p.m. (or at any adjournment thereof) in respect of the resolutions set out in the notice convening the said Meeting as indicated below or, if no such indication is given, as my/our proxy thinks fit and on any other resolution(s) properly put to the Meeting.

Any member of the Company entitled to attend and vote at the Meeting of the Company shall be entitled to appoint another person as his/her proxy to attend and vote instead of such member. Votes may be given either personally or by proxy or by a duly authorized corporate representative. A member may appoint more than one proxy to attend on the same occasion. If any proxy other than the Chairman of the Meeting is appointed, strike out “the Chairman of the Meeting or” and insert the name and address of the proxy desired in the space provided. A proxy need not be a member of the Company but must attend the Meeting in person to represent you.

IMPORTANT : If you wish to vote for a resolution, tick the box marked “ FOR ”. If you wish to vote against the resolution, tick the box marked “ AGAINST ”. Failure to complete a box will entitle your proxy to cast your vote(s) at his discretion. Your proxy will also be entitled to vote at his discretion on any resolution properly put to the Meeting other than that referred to in the notice convening the Meeting.

This instrument appointing a proxy shall be in writing under the hand of the appointor or of his/her attorney duly authorised in writing or, if the appointor is a corporation, either under its seal or under the hand of an officer or attorney duly authorised to sign the same.

In the case of joint holders of a share, any one of such persons may vote at any meeting, either personally or by proxy, in respect of such share as if he were solely entitled thereto: but if more than one of such joint holders be present at any meeting personally or by proxy, that one of the said persons so present whose name stands first on the register of members of the Company in respect of such share shall alone be entitled to vote in respect thereof.

The instrument appointing a proxy and (if required by the Board) the power of attorney or other authority (if any) under which it is signed or a notarially certified copy of such power or authority, shall be delivered to the office of Tricor Progressive Limited, the Company’s branch share registrar, at Level 54, Hopewell Centre, 183 Queen’s Road East, Hong Kong not less than forty-eight (48) hours before the time appointed for holding the Meeting or adjourned Meeting at which the person named in the instrument proposed to vote and in default the instrument appointing a proxy shall not be treated as valid.

Any alteration made to this instrument appointing a proxy must be initialled.

Delivery of an instrument appointing a proxy shall not preclude a member of the Company from attending and voting in person at the Meeting convened and in such event, the instrument appointing a proxy shall be deemed to be revoked.

In relation to Ordinary Resolution Nos. 3(A)(i), (ii) and (iii) regarding the re-election of Directors, Mr. Zen Wei Peu, Derek, Mr. Chan Chi Hung, Anthony and Mrs. Ling Lee Ching Man, Eleanor retire from office and, being eligible, offer themselves for re-election at the Annual General Meeting pursuant to the Company’s Bye-laws.

A circular containing further details regarding Resolution Nos. 3(A)(i), (ii) and (iii), 5(A), 5(B) and 5(C) above has been sent to the shareholders of the Company together with the Annual Report 2019.
