ITEM 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers

On December 11, 2018, The Buckle, Inc. (the "Company") issued a press release announcing that at its December 10, 2018 quarterly meeting, the Board of Directors appointed Brady M. Fritz to the position of General Counsel and Corporate Secretary effective immediately. Ms. Fritz was hired by the Company on December 10, 2018 after having served Cargill Incorporated for over 10 years in several roles of increasing responsibility, most recently as Global Legal Operations Leader and Senior Attorney. Prior to joining Cargill Incorporated, Ms. Fritz began her career at Scudder Law Firm in Lincoln, Nebraska.

In the same press release, The Buckle, Inc. also announced a special cash dividend of $1.00 per share and a quarterly dividend of $0.25 per share to be paid together on January 25, 2019, for shareholders of record at the close of business on January 11, 2019.
