Subject: Merger of BSE Tech Infra Services Private Limited (wholly owned subsidiary of BTPL) with BSE Technologies Private Limited (wholly owned subsidiary of BSE Limited).

Dear Madam / Sir,

In continuation of our intimation dated March 7, 2024, we wish to inform that the Scheme of Merger of BSE Tech Infra Services Private limited (“BSE Tech Infra”) (Wholly owned subsidiary of BTPL) with BSE Technologies Private Limited (Wholly owned subsidiary of BSE Limited) under Section 233 of the Companies Act, 2013 read with Companies (Compromise, Arrangements and Amalgamations) Rules, 2016, has been approved by the Regional Director, Western Region vide order dated September 24, 2024.

BSE Tech Infra and BTPL have filed the aforesaid Order with the Registrar of Companies in the prescribed Form INC-28 on October 1, 2024 i.e. today and the Scheme has become effective from October 1, 2024 (“Effective Date”). Accordingly, BSE Tech Infra has ceased to exist from effective date.
