Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), we would like to inform that, SEBI vide its Letter No. SEBI/HO/MRD/RAC2/P/OW/2023/47331/1 dated November 29, 2023, has appointed Shri Pramod Agrawal as Public Interest Director (PID) on the Board of the Company for a period of three (3) years.

In view of the above, the Board of Directors vide circular resolution passed today i.e. on November 29, 2023, has approved Shri Agrawal’s appointment as PID on the Board of Company for a period of three (3) years with effect from November 29, 2023.

Disclosure as per SEBI Circular SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023, is enclosed as Annexure I.

BRIEF PROFILE

Shri Pramod Agrawal is a distinguished visiting professor at the Indian Institute of Management, Ranchi. He has been the former CMD of Coal India Limited. He has also worked as Joint Secretary in the Department of Disinvestment, Ministry of Finance, Government of India.

Shri Agrawal pursued his B.Tech (Civil), 1986, from IIT, Mumbai and M. Tech (Design Engineering), 1988, from IIT, Delhi. He has about three decades of administrative experience as IAS Officer in varied fields at State and Central levels. He worked as Principal Secretary in Government of Madhya Pradesh in different Departments directly linked with public welfare. He served as CMD of Madhya Pradesh Paschim Kshetra Vidyut Vitaran Company Limited; CEO of Madhya Pradesh Rural Road Development Authority and District Collector, Morena & Mahasamund.

Shri Agrawal has core competency in the field of project management, strategic alliances, tactical planning and high-stake negotiations. He has been professionally trained in Project Appraisal and Risk Management from Duke University, Raleigh, USA, Management of Technical Cooperation Projects from ILOTC Turin, Programme on Infrastructure, Development and Financing from IIM, Ahmedabad, and Infrastructure Planning and Management from IIM, Bangalore; Study on Road Management Policies and Practices from Royal Melbourne Institute of Technology, Melbourne.
