COMPLETION OF SHARE PLACEMENT

Brookside Energy Limited ( ASX:BRK ) (the “ Company ”) is pleased to announce it has received firm commitments for the placement of 100,000,000 Shares at a price of $0.01 per Share, along with free attaching options (Options)(exercisable at $0.02 on or before 31 December 2018) on a 1 for 2 basis ( Placement ), as annoucened on 31 March 2016.

The Company has today issued and allotted 60,000,000 Shares at a price of $0.01 per Share to raise approximately $600,000 before costs under its current placement capacity pursuant to ASX Listing Rule 7.1, subject to satisfying the conditions to its use and offered to sophisticated investors, pursuant to Section 708 of the Corporations Act 2001 (Cth).

The issue of the remaining 40,000,000 Shares and the attaching Options remain subject to the receipt of shareholder approval, to be sought at the Company’s next shareholder meeting.

Funds raised from the Placement will be used for expenditure on the Company’s existing projects and for working capital.

CLEANSING NOTICE UNDER SECTION 708A THE CORPORATIONS ACT 2001 (CTH)

Brookside Energy Limited ( ASX:BRK ) ( Company ) advises that it has issued 60,000,000 shares at an issue price of $0.01 per share to raise approximately $600,000. Details of the Placement are set out in the Company’s ASX announcement dated 31 March 2016 and the attaching Appendix 3B.

The Company gives this Notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

The shares of the Placement were issued without disclosure to investors under Part 6D.2 of the Corporations Act.

As at the date of this Notice, the Company has complied with:

  • the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • section 674 of the Corporations Act.

As at the date of this Notice, there is no excluded information for the purposes of section 708A(7) of the Corporations Act that is reasonable for investors and their professional advisers to expect to find in a disclosure document.
