Issue of Equity to Vendors of Lucas Fettes

Further to the Company's announcement regarding the acquisition of Lucas Fettes Holdings Limited ("Lucas Fettes"), Brooks Macdonald, a leading wealth management firm, announces it has issued 12,571 ordinary shares in the Company ("Consideration Shares"). These shares form part of the consideration for the acquisition and have been issued to the vendors of Lucas Fettes.

Admission and Total Voting Rights

Application has been made for the admission of the Consideration Shares to be admitted to trading on AIM ("Admission"). The Consideration Shares will rank pari passu with the existing issued ordinary shares of the Company. It is expected that Admission will become effective and that trading in the new ordinary shares will commence at or around 8.00 am on  17 December 2024.

On Admission, the total number of ordinary shares in the Company will be 16,520,539. The Company does not currently hold any ordinary shares in treasury. Therefore, from Admission, the total number of voting rights in the Company will be 16,520,539, and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
