Director / PDMR Shareholding

On 16 September 2022, Andrew Shepherd, Chief Executive Officer, exercised awards over ordinary shares of 1 pence each in the Company ("Shares") granted under the 2018 Long Term Incentive Plan (the "LTIP") as exceptional awards and deferred bonus share awards in 2019 and 2020 as set out in the table below.  Following the exercise, a total of 3,825 Shares were sold to meet the income tax and National Insurance liabilities due as a result of the exercise. This happened in two tranches with 1,291 Shares being sold on 16 September 2022 at a price of 2,200.00p per share and the remaining 2,534 Shares being sold on 21 September 2022 at a price of 2,125p per share.

To satisfy the exercise of the awards, 8,136 Shares were transferred from the Brooks Macdonald Employee Benefit Trust (the "EBT"). The Company was notified by JTC Employer Solutions Trustee Limited, as trustees of the EBT, that following this transfer the EBT holds 603,779 Shares, representing 3.73% of the Company's total voting rights.
