Exercise of Options and PDMR Dealings
Long Term Incentive Scheme ("LTIS")
The Company has received notice on 14 November 2016, that a director and certain employees have exercised share options in accordance with the rules of the 2013 and 2010 LTIS schemes.

In aggregate 26,255 options were exercised. No new ordinary shares have been issued to satisfy the LTIS awards. Following the exercise of options, the Brooks Macdonald Group Employee Benefit Trust (the "EBT") has transferred 26,255 ordinary shares to satisfy the awards to underlying beneficiaries.
The EBT repurchased 11,194 ordinary shares from members whom have left the scheme to satisfy 2016 EBT awards to Directors and staff.
The revised holding of the EBT is 228,847 ordinary shares, representing 1.67% of the Company's current voting rights.
