• Sub: Update on Scheme of Arrangement involving Brooks Steriscience Limited (“BSL”), a Joint Venture / Associate of the Company

We refer to the intimation made by the Company on September 26, 2025 regarding the composite scheme of arrangement and amalgamation (merger by absorption) amongst Steriscience Specialties Private Limited, Brooks Steriscience Limited, Steriscience. Pte. Limited, Strides Pharma Services Private Limited and Onesource Specialty Pharma Limited, approved by the Board of Directors of BSL (“Proposed Scheme”).

We have now been informed by BSL that the Board of Directors of BSL at their meeting held today have taken on record the No-objection /No Adverse Observation Letter received by OneSource Specialty Pharma Limited from the The National Stock Exchange of India Limited and BSE Limited (“Stock Exchanges”) for the Proposed Scheme, which is valid for a period of 6 months from the date of its issue.

The Board of Directors of BSL has decided to undertake a further review before proceeding with the filing of the application with the National Company Law Tribunal (NCLT). The review will be completed within the six-month approval window granted by the Stock Exchanges.
