DELAY IN DESPATCH OF CIRCULAR

FOR DISCLOSEABLE TRANSACTION

The Directors of the Company hereby announce that there will be a delay in the despatch of the circular to shareholders of the Company containing further information relating to the Offer announced by the Company on lst August, 2001. The Circular is currently expected to be despatched on 28th August, 2001.

Further to the announcement made by the Company on 1st August, 2001 in relation to the Offer and in accordance with Rule 14.13(2) of the Listing Rules, the Company is required to send to its shareholders on or before 22nd August, 2001 a circular containing further information relating to the Offer (the “Circular”). Terms defined in the announcement dated 1st August, 2001 shall have the same meanings herein unless otherwise stated.

Information to be disclosed in the Circular is required to be consistent with information to be disclosed in the offer and offeree documents that are expected to be despatched to shareholders of WCH on 28th August, 2001. The Company has been advised that the Offeror, WCH and their respective advisers are in the process of finalising the contents of the offer and offeree documents. Accordingly, the Company has made an application to HKSE for a waiver from the strict compliance with Rule 14.13(2) of the Listing Rules so as to postpone the despatch date of the Circular to 28th August, 2001.
