EXPIRY OF SUBSCRIPTION RIGHTS ATTACHING

TO THE 2000 WARRANTS

Any subscription rights under the 2000 Warrants which have not been exercised on or before 31st May, 2000 will lapse after the close of business on 31st May, 2000 and will cease to be valid for any purpose. The last trading day of the 2000 Warrants on The Stock Exchange of Hong Kong Limited is on Friday, 26th May, 2000. The last listing day of the 2000 Warrants on the Stock Exchange of Hong Kong Limited is on Wednesday, 31st May, 2000.

The Board of Directors of Wong's International (Holdings) Limited (the “Company”) would like to remind holders of its warrants carrying the right to subscribe in cash for shares of HK$0.10 per share of the Company (the “Shares”) at the current subscription price of HK$3.80 per share (subject to adjustment) on or before 31st May, 2000 (“2000 Warrants”) that the subscription rights under the 2000 Warrants will expire after the close of business on 31st May, 2000. After such date, any subscription rights under the 2000 Warrants which have not been exercised will lapse and the 2000 Warrants Certificates will cease to be valid for any purpose.

The Company has made the following arrangements regarding the dealing, transfer and exercise of the subscription rights of the 2000 Warrants:

1. Last Trading Date

The last trading day of the 2000 Warrants on The Stock Exchange of Hong Kong Limited (the “Stock Exchange”) will be on Friday, 26th May, 2000.

1. Exercise of Subscription Rights by Registered Holders of the 2000 Warrants

Registered holders of the 2000 Warrants who wish to exercise the subscription rights under their 2000 Warrants must lodge with the Company's Hong Kong Share Registrar, Standard Registrars Limited (the “Registrar”) at 5th Floor, Wing On Centre, 111 Connaught Road Central, Hong Kong the following on or before 4:00 p.m. on Wednesday, 31st May, 2000:

(i) the relevant 2000 Warrants Certificates;

(ii) the duly completed and signed subscription forms; and

(iii) the relevant exercise moneys.

1. Exercise of Subscription Rights by Non-Registered Holders of the 2000 Warrants

Holders of the 2000 Warrants who have not registered the 2000 Warrants in their names and wish to exercise the subscription rights under their 2000 Warrants must lodge with the Registrar at the above mentioned address the following on or before 4:00 p.m. on Wednesday, 31st May, 2000:--

(i) the relevant 2000 Warrants Certificates;

(ii) the duly completed and signed instruments of transfer or other documents of title;

(iii) the duly completed and signed subscription forms; and

(iv) the relevant exercise moneys.

Additional costs and expenses may be incurred if the registration of the 2000 Warrants is submitted during the period commencing from Thursday, 18th May, 2000 (being 10 business days prior to 31st May, 2000).

1. Withdrawal of Listing of the 2000 Warrants

Application will be made to the Stock Exchange to withdraw the listing of the 2000 Warrants on the Stock Exchange with effect from the close of business on Wednesday, 31st May, 2000.

1. New Shares issued under the 2000 Warrants

New Shares issued on the exercise of the 2000 Warrants will rank pari passu in all respects with the existing Shares in issue of the Company and will be allotted and issued to the holders of the 2000 Warrants by not later than 21 days after the relevant subscription date. Certificates for such new Shares will be issued as soon as practicable after the relevant allotment of the new Shares.

1. Information for warrantholders and shareholders

The closing prices of the Shares and the 2000 Warrants as quoted on the Stock Exchange on Thursday, 27th April, 2000 was HK$2.050 and HK$0.025 respectively. A circular containing the above information will be sent to the 2000 Warrantholders and, for information only, Shareholders of the Company shortly.
