Item 5.07 Submission of Matters to a Vote of Security Holders

The Annual Meeting of Stockholders of Broadway Financial Corporation (the “Company”) was held on June 24, 2020. Only stockholders of record as of the close of business on May 1, 2020, the record date for the Annual Meeting, were entitled to vote at the Annual Meeting. As of the record date, 19,282,571 shares of the Company’s voting stock were outstanding and entitled to vote at the Annual Meeting. The tabulation of the stockholder votes on each proposal brought before the Annual Meeting is as follows :

(1) To elect two directors to serve until the Annual Meeting to be held in the year 2023 or until their successors are elected and have been qualified.

The stockholders elected Virgil Roberts and Daniel A. Medina to serve as directors for three-year terms. The number of votes cast with respect to each of these persons was as follows:

Broker non-votes received with respect to this proposal were 1,331,540.

(2) To ratify the appointment of Moss Adams LLP as the Company’s independent registered public accounting firm for the year ending December 31, 2020.

The stockholders ratified the appointment of Moss Adams LLP as the Company’s independent registered public accounting firm for 2020, with 11,409,496 shares voting “for”, 2,779,997 shares voting “against” and 8,353 shares abstaining.

No broker non-votes were received with respect to this proposal.

(3) To cast an advisory (non-binding) vote on the Company’s executive compensation.

The stockholders approved the Company’s executive compensation on an advisory (non-binding) basis, with 10,023,437 shares voting “for”, 2,748,652 shares voting “against” and 94,217 shares abstaining.

Broker non-votes received with respect to this proposal were 1,331,540.

(4) To cast an advisory (non-binding) vote on frequency of advisory vote on the Company’s executive compensation.

The stockholders votes received with respect to this proposal were 12,582,151 shares for “1 Year”, 47,129 shares for “2 Years”, 198,619 shares for “3 Years” and 38,407 shares abstaining.

Broker non-votes received with respect to this proposal were 1,331,540.
